• Advised boards of directors, management, and in-house counsel on complex matters, including business entity selection and formation, strategic planning, corporate finance, employment law issues, and investor relations.
• Drafted and reviewed agreements and documents for, and negotiated with opposing counsel on, a wide range of business transactions, including mergers and acquisitions, venture capital financings, and employment matters.
• Drafted disclosure for SEC registration statements and other documents for biotechnology and other companies making initial public offerings and secondary offerings on the stock market.
• Coordinated and oversaw client, underwriter, and in-house and opposing legal counsel involvement in the drafting of SEC registration statements and other documents.
• Assisted public company clients in preparing annual and quarterly SEC reports, proxy statements, and press releases, and in responding to shareholder proposal requests.
• Guided and assisted junior associates in their work on corporate client matters.

• Review disputed tax assessments and refund denials, working with taxpayers, auditors, and other Comptroller personnel to resolve disputed tax issues and claims.
• Represent the Comptroller in administrative proceedings to address unresolved taxpayer issues and claims.
• Prepare filings for hearings, including position letters, responses to replies, discovery requests and responses, briefs for hearings, and motions to dismiss, motions for rehearing, and other motions as cases required.
• Prepare and deliver presentations to Comptroller personnel and/or the public to educate them on taxability or procedural issues of tax administration.
• Recommend, analyze, and/or draft tax legislation and rules.
